Terms of Service

1. Acceptance of Terms

By accessing or using LeadClaw ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including account holders and any individuals authorized to use the Service on behalf of an account holder.

2. Service Description

LeadClaw is an AI marketing platform for service-based businesses. The Service provides:

  • AI-driven business onboarding and profile building
  • Automated lead generation from publicly available sources
  • Personalized email outreach sent from a dedicated LeadClaw sending address (or your own custom domain)
  • Reply monitoring and classification
  • Paid ad campaign creation for Google and Meta. In Supervised mode (the default) campaigns are submitted for your approval before any spend. If you enable Autopilot for ads, your agent may create and launch campaigns automatically within the limits you configure (see Section 2a)
  • AI-generated social content (posts, images, and video). In Supervised mode it is submitted for your approval before publishing. If you enable Autopilot for content, your agent may schedule and publish it automatically within the limits you configure (see Section 2a)
  • Campaign management, analytics, and reporting
  • Always-on communication with your AI agent via chat and email

Your AI agent operates within the boundaries you configure. It presents itself as "[Agent Name], Assistant for [Your Business]" and never claims to be you. How much your agent does on its own depends on the mode you select for each capability, as described in Section 2a.

2a. Supervised and Autopilot Modes

Supervised mode is the default. In Supervised mode your agent prepares ads, content, and outreach and submits them to you for approval. Nothing is spent, published, or sent under Supervised mode without your explicit approval.

Autopilot mode is optional and off by default.You may enable Autopilot for one or more capabilities, for example publishing social content, sending outreach, or launching ads. By enabling Autopilot for a capability, you expressly authorize LeadClaw and your agent to approve, publish, schedule, send, and spend on your behalf, and on your connected third-party accounts, automatically and without further review, but only within the limits you configure (the "Autopilot Limits"). Actions that fall outside your Autopilot Limits continue to require your explicit approval.

Your instructions and your authority. The Autopilot Limits you set, including any budget, frequency, or spending caps, are your instructions to your agent. You represent that you have the authority to authorize the resulting actions and spend, including advertising spend charged by third-party platforms directly to your own connected accounts. You may change your Autopilot Limits or disable Autopilot for any capability at any time from the LeadClaw Settings page.

Autonomous actions are your responsibility. You acknowledge that in Autopilot mode your agent may create, publish, send, and spend without your individual review of each action, that AI-generated decisions and content may be imperfect, and that LeadClaw does not guarantee the performance, quality, results, or return on investment of any autonomously created or published content or advertising. To the maximum extent permitted by law, and in addition to Section 13, LeadClaw is not liable for the outcomes of actions your agent takes within your Autopilot Limits, including advertising spend consumed, campaign performance, or content published or messages sent on your behalf.

3. Account Registration and Security

  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • Each account is entitled to one AI agent. You may not share your account or agent with other parties.
  • You are responsible for all activity that occurs under your account.

4. Acceptable Use Policy

You agree NOT to use LeadClaw to:

  • Send unsolicited bulk email (spam) in violation of applicable laws
  • Use purchased, rented, or scraped email lists from behind login walls
  • Send deceptive, misleading, or fraudulent communications
  • Impersonate another person or misrepresent your business identity
  • Send content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to circumvent sending limits, rate limits, or compliance safeguards
  • Use the Service for any purpose that violates applicable local, state, national, or international law
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service

Violation of this policy may result in immediate suspension or termination of your account.

5. Email Compliance

LeadClaw enforces email compliance through technical measures. You are also responsible for ensuring your use of the Service complies with applicable email regulations:

5.1 Platform-Enforced Compliance

  • Every outbound email includes a one-click unsubscribe mechanism (RFC 8058 header and footer link)
  • Unsubscribe requests are honored immediately across all campaigns
  • Sending automatically pauses if bounce rate exceeds 2% or complaint rate exceeds 0.1%
  • Outreach is not sent between 10 PM and 7 AM in the lead's local timezone
  • All lead emails are verified before sending

5.2 Your Responsibilities

  • You must provide accurate business information including a valid physical mailing address for inclusion in email footers (CAN-SPAM requirement)
  • You must ensure your business profile accurately represents your services
  • You are responsible for compliance with all applicable email laws in your jurisdiction, including CAN-SPAM (US), GDPR (EU/UK), CASL (Canada), and other local regulations
  • If using a custom domain for email, you are responsible for configuring SPF, DKIM, and DMARC records

6. Email Sending and Connected Accounts

Email. Your AI agent sends outreach email through our email provider from a dedicated sending address on an authenticated LeadClaw domain, or from your own custom domain if you connect one. You do not need to connect a personal mailbox (such as Gmail or Outlook), and the Service does not read or send from your personal mailbox.

Ad and social accounts.To run paid ads or publish social content, you may connect third-party accounts (Google Ads, Meta, Facebook, Instagram, LinkedIn, and X) using their official authorization. By connecting an account, you confirm you have the right to use it, and you authorize your agent to prepare campaigns and content for it. In Supervised mode nothing is spent and nothing is published without your explicit approval. If you enable Autopilot for a capability, you authorize your agent to spend and publish on your behalf automatically within your Autopilot Limits, as described in Section 2a. You can disconnect any account at any time from the LeadClaw Settings page or from that platform's own settings.

Google sign-in.If you use "Continue with Google" to sign in, our use of the resulting Google profile data (your name and email) complies with the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for details.

Third-party platform terms. Content published and ad campaigns run through connected accounts, whether prepared for your approval or created and published autonomously under Autopilot, are also subject to the terms and advertising policies of those platforms. You are responsible for ensuring your campaigns and content comply with them.

7. SMS Messaging

LeadClaw provides SMS communication between you and your AI assistant. By opting in to SMS during onboarding:

  • You consent to receive text messages from your AI assistant, including onboarding messages, status updates, and conversational replies
  • Message frequency varies based on your interactions with your assistant
  • Message and data rates may apply depending on your mobile carrier
  • Reply STOP to any message to opt out of SMS communications at any time
  • Reply HELP for support information
  • Your phone number is verified via one-time passcode (OTP) during onboarding and is not shared with third parties

8. Lead Data

LeadClaw generates leads exclusively from publicly available sources, including Google Maps listings, business directories, Yelp, and public business websites. We do not:

  • Purchase or rent email lists
  • Scrape personal email addresses or data from behind login walls
  • Collect data from social media private profiles

You are responsible for ensuring that your outreach campaigns target appropriate audiences and that contacting generated leads is lawful in your jurisdiction.

9. AI-Generated Content

Your AI agent drafts personalized outreach emails using artificial intelligence. While the Service includes content guardrails and compliance checks:

  • You are ultimately responsible for communications sent on behalf of your business
  • AI-generated content may occasionally contain errors or inaccuracies
  • The AI will never make pricing commitments beyond what is in your business profile
  • The AI will never claim to be the business owner — it identifies as an assistant

You may review your agent's activity and email history at any time through the dashboard.

10. Intellectual Property

Our property: The LeadClaw platform, including its software, design, AI models, and documentation, is owned by LeadClaw and protected by intellectual property laws. You are granted a limited, non-exclusive license to use the Service for its intended purpose.

Your property: You retain ownership of your business profile data, email content, campaign data, and the marketing content your agent generates for you (ad copy, social posts, images, and video). You grant LeadClaw a license to use this data solely to provide and improve the Service.

11. Payment and Billing

  • Pricing details are available on our website and within the Service
  • Subscription fees are billed in advance on a monthly or annual basis
  • Usage-based charges, if applicable, are billed in arrears
  • All fees are non-refundable except as required by law or as explicitly stated in our refund policy
  • Advertising spend is charged by third-party platforms directly to your own connected accounts and is not a fee paid to LeadClaw. It is not refundable by LeadClaw. Your remedy for unwanted autonomous spend is to adjust your Autopilot Limits or disable Autopilot
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in suspension or termination of your account

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice)
  • Emergency maintenance or security patches
  • Third-party service outages (Google, Supabase, etc.)
  • Force majeure events

Your AI agent includes self-healing capabilities and will automatically recover from most service disruptions. If your agent is unable to operate for an extended period, we will notify you.

13. Limitation of Liability

To the maximum extent permitted by law, LeadClaw shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Email deliverability issues caused by third-party spam filters or email provider policies
  • Inaccuracies in AI-generated content or lead data
  • The outcomes of actions your agent takes autonomously within your Autopilot Limits, including advertising spend consumed, campaign performance, and content published or messages sent on your behalf
  • Advertising spend charged to your own connected ad accounts by third-party platforms
  • Actions taken by leads in response to outreach emails
  • Third-party service outages beyond our control

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold LeadClaw harmless from any claims, damages, or expenses arising from your use of the Service, including but not limited to: violations of these Terms, violations of email compliance laws, inaccurate business information you provide, unauthorized use of your account, or actions your agent takes in accordance with the Autopilot Limits and instructions you configure.

15. Termination

14.1 By You

You may cancel your account at any time from the Settings page or by contacting us. Upon cancellation:

  • Your AI agent will stop all campaign activity immediately
  • Your account remains accessible for 30 days (grace period)
  • After 30 days, your AI agent is deactivated and your VPS is destroyed
  • Your data is retained for 30 days after cancellation, then permanently deleted
  • You may request immediate data deletion at any time

14.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay outstanding fees
  • Use the Service in a way that harms other users or our reputation
  • Are required to be removed by law or a valid legal order

We will provide reasonable notice before termination except in cases of serious violations requiring immediate action.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice on our platform at least 30 days before the changes take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your account before the effective date.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Texas.
